What Is Alleged? According to the securities complaint, AST and certain senior executives allegedly made materially false or misleading statements or failed to disclose that:

The underlying class action complaint alleges that AST continued making positive statements concerning its liquidity and competitive position while subsequently raising substantial additional capital through multiple convertible-note offerings.

In October 2025, AST announced a convertible-note offering ultimately sized at $1.0 billion. Its share price allegedly declined approximately 9.24% following the disclosures.

AST announced another $1.0 billion convertible-note offering in February 2026, after which its stock allegedly declined approximately 15.17%.

On July 15, 2026, AST announced another $1.0 billion convertible-note offering, with an option for an additional $150 million. AST shares allegedly declined 17.04% the following day, closing at $55.01 per share.

The underlying class action complaint also alleges that Chairman and CEO Abel Avellan sold 55,244 AST shares for more than $5.5 million, while CFO and Chief Legal Officer Andrew M. Johnson sold 190,131 shares for more than $13 million during the alleged Class Period.
