Tempus AI ( TEM) pledged to buy cancer diagnostics outfit Personalis ( PSNL) for $1.5 billion on Monday. But shares of both medtech companies skidded.

The deal follows a rumor last week that Merck ( MRK) and others, including potentially Tempus AI, had expressed interest in buying Personalis. Personalis makes a blood test called NeXT Personal that screens for circulating tumor DNA, a marker that a patient's cancer has returned. Tempus already owned 12.5% of Personalis stock.

"We believe this transaction represents an exciting next chapter for Personalis," the company's Chief Executive Chris Hall, said in a written statement. "Combining with Tempus gives us the scale, complementary capabilities and resources to accelerate innovation and deliver even greater value to patients, clinicians and biopharma partners."

However, at the close, Personalis stock slumped 13.3% to 13.34, while Tempus AI shares took a 7.7% tumble to 48.41.

Tempus' Personalis Bid

Tempus' bid values Personalis shares at $16.25 a share. That equates to roughly a 6% premium to the closing price on Friday and a 28% premium to the 30-day price.

Additionally, Needham analyst Mike Matson says the valuation — 15.5x 2027 enterprise value/sales multiple — is well above typical 3.9x valuation for small- and midcap growth companies.

"We believe the premium is warranted given the strong growth in NeXT Personal (and) multiple Medicare reimbursement wins," Matson said in a client note. He added that there is potentially a "large addressable minimal residual disease market (MRD) of ~$20B" for the combined companies.

The companies expect the deal to close in late 2026 or early 2027, barring any competing bids or potential antitrust concerns. But Matson notes Tempus AI has a limited exposure to the MRD market.

"We believe that TEM is the most logical acquirer of PSNL, and we believe they are paying a fair price," he said.

With the announcement, Personalis also guided to $22.4 million in second-quarter sales. That is above Street expectations for $16.8 million. The company also expects to report 33% sequential growth in test volume.
